Terms of Service

Platform: SimpleExperts.ai (“Simple Experts”)

1. Fees & Payments

1.1 Product Fees

• You agree to pay Readitfor.me Texas LLC and its subsidiary products all applicable fees in accordance with the pricing and payment terms presented at purchase.
• Payments are processed through Quickbooks Online and PayPal, subject to their own terms and privacy policies.
• All fees are in U.S. dollars and non-refundable, except as required by law or as expressly stated in these Terms.
• Technical support covers platform functionality only; we do not provide support for custom coding or integrations.
• We are not responsible for foreign exchange fees or currency conversion differences charged by your provider.

1.2 Subscriptions & Recurring Billing

• Subscriptions are billed on a recurring basis (monthly or annual).
• Monthly billing cycles are on an annual term unless otherwise stated.
• Payment is charged at purchase and at the start of each renewal.
• Subscriptions renew automatically unless cancelled at least one business day before the end of the term via your account or by contacting support@simpleacademy.ai.
• Free trials convert automatically to paid subscriptions unless cancelled before the trial ends.
• Price changes take effect at the next renewal; continued use of the platform indicates acceptance.

1.3 Lifetime Memberships

• Lifetime subscriptions are valid for the lifetime of the product.
• Refunds are available only within 72 hours of purchase.
• Multi-payment plan lifetime offers must be cancelled within 72 hours of the first payment to qualify for a refund.
• Lifetime Consultant memberships provide continued access to the Simple Consultant program and all future Readitfor.me and Simple brand programs.

1.4 Taxes

• Prices exclude applicable taxes. You are responsible for paying all sales, VAT, GST, or withholding taxes.
• U.S. sales tax will be calculated based on your billing address unless you provide a valid exemption certificate.
• International taxes (e.g., VAT, GST) may be collected unless exemption documentation is provided.
• If you are legally required to withhold taxes, you must provide supporting documentation.

1.5 Refund Policy

• A full refund is available within 72 hours of initial sign-up.
• Refund requests must be sent to support@simpleacademy.ai within the 72-hour window.
• After 72 hours, payments are non-refundable. Abuse of this policy may result in denial of refunds.

1.6 Authorized Payment Method

• You must maintain a valid payment method on file.
• We may update payment details automatically via your provider to prevent service interruption.
• Accounts past due by 50 days may be suspended unless prior arrangements are made.

2. Promotional & Lifetime Offers

• Promotional offers last for the stated promotional period.
• Unless cancelled before the end of that period, subscriptions renew automatically at the standard rate.
• Cancelling a lifetime offer within 72 hours revokes access to the service.

3. License & Usage Rights

3.1 Course Materials

• Course materials are for educational use only.
• Repurposing, reselling, or distribution requires a reseller license under the Simple Consultant program.

3.2 Platform Content Distribution

• You may distribute only content you created or have explicit rights to distribute.
• Unauthorized resale, repurposing, or use to create a competing AI platform, certification program, or consultancy is prohibited.

3.3 AI Protocols & Tools

• AI protocols and tools (including Readitfor.me and Simple protocols) are licensed for individual organizational use only.
• Hosting, reselling, reverse engineering, or client-facing use of these tools is prohibited.

3.4 Certifications

• Certificates, designations, or credentials may be tied to membership level and may require ongoing compliance or continuing education.

4. Recording & Distribution

• Simple Experts licensees may deliver Simple-licensed content live or via video conference.
• If recorded, such content must be hosted as protected content and shared only through approved Simple platforms.
• Direct link sharing is prohibited.
• Access to recorded Simple-licensed content requires at least one active paid seat on Simple Academy.

5. Confidentiality (NDA)

5.1 Obligation

You may gain access to confidential and proprietary information (e.g., strategies, product details, customer data). You agree to keep this information confidential.

5.2 Permitted Disclosure

Disclosure is only allowed to employees or contractors who require access and are bound by equivalent confidentiality obligations.

5.3 Duration

Confidentiality obligations survive termination of this Agreement.

6. Contractor & Commission

6.1 Authorization

• Only approved contractors may sell Simple subscriptions under the commission structure in effect at that time.
• We reserve the right to modify commission structures unless otherwise contractually agreed.

6.2 Independent Contractor Relationship

• Consultants and affiliates are independent contractors, not employees, partners, or agents.
• Each party is responsible for its own business operations and expenses.

6.3 Affiliate Dashboard

• Accounts may display an affiliate dashboard for demonstration purposes.
• Only active paid Simple Consultants and approved value-added resellers are eligible for commissions.

7. Enforcement

7.1 Validity

If any provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary to remain enforceable, and the remaining provisions will remain in effect.

7.2 Governing Law

These Terms are governed by and construed under the laws of the State of Texas, without regard to conflict-of-law principles.
